Mobatly Properties (PTY) LTD

1. Introduction

This Vendor Agreement ("Agreement") is a legal contract between you ("Vendor", "you", or "your") and Mobatly Properties (PTY) LTD ("Company", "we", "us", or "our"), the operator of theMOB Smart Multi Currency marketplace ("Platform").

By registering as a vendor and/or listing products on our Platform, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.

This Agreement governs your use of the Platform as a vendor, including product submissions, sales, earnings, and support obligations.

2. Vendor Eligibility

To become a vendor on our Platform, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Have a valid PayPal account for receiving payments
  • Own or have the rights to sell the products you submit
  • Comply with all applicable laws and regulations

We reserve the right to reject any vendor application or terminate vendor accounts at our discretion.

3. Product Submissions

3.1 Product Requirements

All products submitted to the Platform must:

  • Be fully functional and free of critical bugs
  • Not contain malicious code, backdoors, or security vulnerabilities
  • Include complete documentation for installation and usage
  • Be compatible with the stated software versions and requirements
  • Not infringe on any third-party intellectual property rights
  • Comply with all applicable software licensing requirements

3.2 Review Process

All submitted products undergo a review process before being listed on the Platform. We may reject products that do not meet our quality standards, violate our policies, or pose security risks.

3.3 Product Updates

Vendors are responsible for maintaining their products, including:

  • Fixing bugs and security vulnerabilities promptly
  • Ensuring compatibility with new versions of core software
  • Updating documentation as needed
  • Communicating significant changes to customers

4. Prohibited Content

The following content is strictly prohibited on our Platform:

  • Nulled, pirated, or illegally obtained software
  • Products containing malware, viruses, or malicious code
  • Products that infringe on copyrights, trademarks, or patents
  • Products that violate open-source licenses (GPL, MIT, etc.)
  • Content that is illegal, harmful, or violates third-party rights
  • Products designed to facilitate illegal activities
  • Misleading or fraudulent product listings
  • Products with hidden affiliate links or unauthorized monetization

Violation of these prohibitions may result in immediate account termination and forfeiture of earnings.

5. Pricing and Fees

5.1 Product Pricing

Vendors have full control over the pricing of their products, subject to our minimum and maximum price guidelines. Prices must be set in USD.

5.2 Platform Commission

The Platform retains 30% of each sale as a commission. You receive 70% of the sale price.

Example: For a $100 product sale

  • • Platform Commission: $30
  • • Your Earnings: $70

5.3 Affiliate Commissions

When sales are made through affiliate referrals, the affiliate commission (20%) is deducted from the Platform's commission, not from your earnings. You still receive 70%.

6. Earnings and Payouts

6.1 Payout Schedule

Payouts are processed on a NET15 basis. Earnings are typically available for withdrawal 15 days after the sale to allow for potential refunds and disputes.

6.2 Minimum Payout Threshold

The minimum payout threshold is $50. Earnings below this threshold will be carried forward to the next payment period.

6.3 Payment Method

All payouts are processed via PayPal. You must maintain a valid PayPal email address in your vendor profile. Payment fees charged by PayPal are your responsibility.

6.4 Tax Responsibilities

You are solely responsible for reporting and paying all applicable taxes on your earnings. We may request tax forms (W-9, W-8BEN) as required by law and may withhold taxes where legally required.

7. Support Obligations

7.1 Required Support

As a vendor, you are required to provide customer support for your products. This includes:

  • Responding to support requests within 48 hours
  • Providing assistance with installation and configuration
  • Resolving bugs and technical issues
  • Answering pre-sale questions from potential buyers

7.2 Support Period

You must provide support for a minimum of 6 months from the date of each sale. Extended support options may be offered as add-ons.

7.3 Support Not Included

Vendor support does not include:

  • Product customization beyond documented features
  • Third-party plugin or theme conflicts not caused by your product
  • Server configuration or hosting issues
  • General WordPress/software development training

8. Refunds and Disputes

8.1 Vendor Protection

Our refund policy is designed to protect vendors from fraudulent refund requests:

  • Buyers must first contact you to resolve issues
  • You have 3 days to respond to reported issues
  • Refunds are only issued if you fail to provide promised functionality
  • Buyers cannot get refunds simply because they changed their mind

8.2 Dispute Resolution Process

  1. Buyer reports issue to vendor (you are notified)
  2. You have 3 days to respond and attempt resolution
  3. If unresolved within 14 days, buyer may escalate to Platform
  4. Platform reviews the case within 7 days
  5. Platform makes final decision

8.3 Refund Deductions

If a refund is approved, the refund amount will be deducted from your pending or future earnings. In cases of vendor fault, no platform fees will be refunded.

9. Intellectual Property

9.1 Ownership

You retain all intellectual property rights to your products. By submitting products to the Platform, you grant us a non-exclusive license to:

  • Display and market your products on the Platform
  • Distribute your products to paying customers
  • Create promotional materials featuring your products

9.2 Third-Party Components

If your products include third-party components (libraries, frameworks, images), you must:

  • Have the right to use and redistribute these components
  • Comply with all applicable licenses (GPL, MIT, Apache, etc.)
  • Properly attribute third-party components as required

9.3 Infringement Claims

If we receive a valid infringement claim against your product, we may:

  • Immediately remove the product from the Platform
  • Withhold your earnings pending resolution
  • Terminate your vendor account for repeated violations

10. Account Termination

10.1 Voluntary Termination

You may terminate your vendor account at any time by contacting us. Upon termination:

  • Your products will be removed from the Platform
  • Existing customers retain access to purchased products
  • You remain responsible for providing support during the support period
  • Pending earnings will be paid out according to normal schedule

10.2 Termination by Platform

We may terminate your vendor account for:

  • Violation of this Agreement or Platform policies
  • Submission of prohibited or malicious content
  • Fraudulent activity or misrepresentation
  • Repeated failure to provide adequate support
  • High refund rates indicating quality issues
  • Intellectual property infringement

10.3 Effect of Termination

Upon termination for cause, we may withhold pending earnings to cover potential refunds and damages. Earnings may be forfeited in cases of fraud or serious policy violations.

11. Indemnification

You agree to indemnify and hold harmless Mobatly Properties (PTY) LTD from any claims, damages, losses, or expenses arising from:

  • Your products or product listings
  • Intellectual property infringement claims
  • Your failure to provide required support
  • Your violation of this Agreement
  • Your interactions with buyers

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOBATLY PROPERTIES (PTY) LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM AS A VENDOR.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL EARNINGS PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Changes to Agreement

We may update this Agreement from time to time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after changes constitutes acceptance of the updated Agreement.
